Our clients include cannabis and hemp companies, restaurants, physicians, architects, automotive repair shops, lenders and real estate developers, just to name a few.

Recent representative engagements of note include serving as lead counsel on $30MM+ share exchange between a hemp producer client and pre-IPO Canadian company and serving as lead counsel on $10MM+ sale of large retail cannabis business in Oregon.

Of course, we work on a great many smaller deals, too, and pride ourselves on having helped form and guide dozens of new businesses in a variety of industries. We draft operating agreements, bylaws, shareholder agreements and redemption agreements. We advise clients with respect to state and federal securities laws and have great relationships with Canadian counsel for cross-border work. We document equity investments and debt investments. We assist clients on both sides of the M&A equation with what can be a complex and trying process of buying or selling companies. We also specialize in structuring and drafting commercial agreements for the emerging hemp and cannabis industries, be it for toll processing, white-label production and packaging, IP licensing, R&D joint ventures…and whatever else our clients can think of next.
